&nbsp;员：黄翠萍</span></p><p><span style="font-family: 微软雅黑, ">委&nbsp; &nbsp;员：<span style="text-wrap: wrap;">杨能杰</span></span></p><p><span style="text-wrap: wrap;">委&nbsp; &nbsp;员：张凯翔</span></p><p><span style="font-family: 微软雅黑, ">&nbsp;</span></p><p><span style="font-family: 微软雅黑, "><strong><span style="font-family: 微软雅黑, ">薪酬委员会之职责</span></strong></span></p><hr/><p><span style="font-family: 微软雅黑, ">本委员会每年至少召开二次，并得视需要随时召开会议，本委员会应以善良管理人之注意，忠实履行下列职权，并将所提建议提交董事会讨论。</span></p><p><span style="font-family: 微软雅黑, ">一、定期检讨薪资报酬委员会组织规程并提出修正建议。</span></p><p><span style="font-family: 微软雅黑, ">二、订定并定期检讨本公司董事及经理人绩效评估标准、年度及长期之绩效目标，与薪资报酬之政策、制度、标准与结构，并于年报中揭露绩效评估标准之内容。</span></p><p><span style="font-family: 微软雅黑, ">三、定期评估本公司董事及经理人之绩效目标达成情形，并依据绩效评估标准所得之评估结果，订定其个别薪资报酬之内容及数额。</span></p><p><span style="font-family: 微软雅黑, ">&nbsp;</span></p><p><span style="font-family: 微软雅黑, "><strong>履行职权时，应依下列原则为之：</strong></span></p><p><span style="font-family: 微软雅黑, ">一、确保公司之薪资报酬安排符合相关法令并足以吸引优秀人才。</span></p><p><span style="font-family: 微软雅黑, ">二、董事及经理人之绩效评估及薪资报酬，应参考同业通常水平支给情形，并考虑个人绩效评估结果、所投入之时间、所担负之职责、达成个人目标情形、担任其</span></p><p><span style="font-family: 微软雅黑, ">　　他职位表现、公司近年给予同等职位者之薪资报酬，暨由公司短期及长期业务目标之达成、公司财务状况等评估个人表现与公司经营绩效及未来风险之关连合理性。</span></p><p><span style="font-family: 微软雅黑, ">三、不应引导董事及经理人为追求薪资报酬而从事逾越公司风险胃纳之行为。</span></p><p><span style="font-family: 微软雅黑, ">四、针对董事及高阶经理人短期绩效发放酬劳之比例及部分变动薪资报酬支付时间，应考虑行业特性及公司业务性质予以决定。</span></p><p><span style="font-family: 微软雅黑, ">五、订定董事及经理人薪资报酬之内容及数额应考虑其合理性，董事及经理人薪资报酬之决定不宜与财务绩效表现重大悖离，如有获利重大衰退或长期亏损，则其薪资</span></p><p><span style="font-family: 微软雅黑, ">　　报酬不宜高于前一年度，若仍高于前一年度，应于年报中揭露合理性说明，并于股东会报告。</span></p><p><span style="font-family: 微软雅黑, ">六、本委员会成员对于其个人薪资报酬之决定，不得加入讨论及表决</span></p><p><span style="font-family: 微软雅黑, ">&nbsp;</span></p><p><span style="color: rgb(84, 141, 212);
